1. Introduction and Acceptance
Welcome to Careo.Ai (“we”, “our”, “us”). These Terms and Conditions (“Terms”) govern your organisation’s use of our websites, platforms and services. By accessing or using Careo.Ai, you (“you”, “partner”, “user”) agree to these Terms. If you do not agree, you must not use our services.
Careo.Ai is operated by Healsgood Ltd and its group entities.
Careo.Ai provides recruitment software solutions that support workforce and compliance management. We act solely as a data processor, operating under the instructions of our partners, who remain the data controllers. Careo.Ai is not an employer, recruiter or healthcare provider.
2. Definitions
- “Careo.Ai” means the recruitment software platform and website operated by Healsgood Ltd and its group entities.
- “Partner” means an organisation (including employers, recruiters, agencies and training providers) that uses Careo.Ai to manage recruitment or training activities.
- “Services” means the Careo.Ai website, platform and associated tools.
- “Data” means information uploaded or processed through Careo.Ai, including candidate details, compliance records, qualifications, availability and usage information.
- “Data Controller” means the partner, who determines the purposes and means of processing personal data.
- “Data Processor” means Careo.Ai, which processes personal data only on the documented instructions of the Data Controller.
3. Scope of Services
- Careo.Ai provides recruitment software that enables partners to manage candidates and opportunities.
- Careo.Ai does not:
- Employ candidates
- Verify candidate information, compliance or right-to-work status
- Enter into contracts on behalf of partners
- Guarantee placements, outcomes or availability
- Employ candidates
- Partners remain solely responsible for candidate management and compliance obligations.
4. Website Terms of Use
- The Careo.Ai website is provided for lawful purposes only.
- You must not use the website in any way that causes, or may cause, damage to the website or impair its availability.
- You must not use the website to transmit unlawful, harmful, defamatory, obscene or infringing material.
- Content on the Careo.Ai website, including text, graphics, logos, images and software, is owned by Healsgood Ltd or its licensors. You may not reproduce, modify or distribute any part of the website without prior written consent.
- Links to third-party websites may be provided for convenience. Careo.Ai does not endorse, control or accept responsibility for third-party websites or their content.
- We do not guarantee that the website will always be secure, error-free or uninterrupted. We are not liable for any loss or damage arising from its use.
5. Platform Use
- Partners must ensure only authorised staff use the Careo.Ai platform.
- You must not upload unlawful, inaccurate or harmful data.
- You must not attempt to interfere with, disrupt or gain unauthorised access to the platform.
- You must ensure that data entered into the platform is accurate, lawful and provided with the necessary legal basis.
- Partners are fully responsible for managing their candidate relationships, including contracts, compliance checks and disputes.
6. Data Protection and Processing
- Careo.Ai acts as a data processor, processing personal data only under partner instructions.
- Partners act as the data controllers and are responsible for ensuring lawful grounds for processing.
- Careo.Ai complies with UK GDPR, EU GDPR, UAE Federal Decree-Law No. 45/2021, HIPAA (where applicable), CCPA/CPRA and South Africa’s POPIA.
- Careo.Ai implements appropriate technical and organisational measures to safeguard personal data.
- Careo.Ai may record platform usage data (such as logins, searches and applications) to support functionality, reporting and security. Attendance or non-attendance information may also be processed where relevant to partner activities.
- Partners are responsible for obtaining necessary consents from candidates (where required) and ensuring compliance with applicable data protection laws.
- Careo.Ai may engage sub-processors under written agreements. A list of sub-processors is available on request.
7. Partnership Responsibilities
- Partners must use Careo.Ai in accordance with applicable laws and regulations.
- Partners must maintain secure access controls and protect login credentials.
- Partners must not use Careo.Ai to store, transmit or process unlawful or harmful material.
- Partners remain fully responsible for their own compliance, regulatory obligations and data controller duties.
8. Intellectual Property
- All intellectual property in Careo.Ai, including the website, platform, design and software, remains the property of Healsgood Ltd or its licensors.
- No rights are transferred other than a limited right to use the Services in accordance with these Terms.
9. Liability
- Careo.Ai provides the Services “as is” and “as available”.
- We do not guarantee uninterrupted availability, system performance or specific outcomes.
- To the maximum extent permitted by law, Careo.Ai is not liable for any damages arising from the use of the Services.
- Partners remain liable for their own compliance obligations and data controller responsibilities.
10. Termination and Suspension
Careo.Ai may suspend or terminate access if:
- A partner breaches these Terms
- The platform or website is misused
- Unlawful or harmful data is uploaded
11. Governing Law and Jurisdiction
- UK users: governed by the laws of England and Wales.
- UAE users: governed by the laws of the United Arab Emirates.
- US users: governed by applicable federal and state laws.
- South African users: governed by the laws of the Republic of South Africa.
12. Changes to the Terms
We may update these Terms from time to time. Updates will be posted on the Careo.Ai website with a revised “Last Updated” date. Continued use of the Services constitutes acceptance of the updated Terms.
